Terms of Service
Last updated 30 October 2026. Version 2026-10-30.1.
These terms are an agreement between KOD Holdings LLC ("SYNRGII", "we", "us") and the business that creates a SYNRGII account ("you"). By creating an account or using the service you accept these terms on behalf of that business, and you confirm you are authorized to do so.
The service
SYNRGII is a calling, texting and lead management service for real estate businesses. It includes a browser phone and dialer, phone numbers, call recording and transcripts, text messaging where it is enabled for your account, contact and deal records, and related tools. We may improve, change or retire features over time, and we try to give reasonable notice before removing something you rely on.
Your account
- Keep your login details private. You are responsible for what happens under your account, including the actions of team members you add.
- Give us accurate business information, including for phone carrier registration, and keep it up to date.
- You must be at least 18 and use SYNRGII for business purposes.
Plans, balance and payment
- SYNRGII has a monthly plan, billed in advance, plus usage paid from a prepaid balance in your account. Current prices are shown in the app and at signup, or sent on request; a text costs a per segment price plus the carrier's fee for that message.
- Usage includes calls (per started minute), phone numbers (monthly), text messages (per message segment, sent and received) and phone carrier registration fees. Calls and outgoing texts stop when the balance reaches zero; texts people send you are still delivered and charged.
- If you turn on automatic reload, you authorize us to charge your saved card the amount you chose whenever your balance falls below the level you set.
- We may change our own prices with at least 30 days' notice by email or in the app. Carrier and registration fees that we pass through at cost change when the carriers change them. Fees are in US dollars and do not include any taxes that may apply.
- You can cancel any time by writing to support@synrgii.com; the plan stays active until the end of the period already paid. Carrier registration fees are not refundable, including when a carrier rejects a registration. Plan charges and anything already used are not refundable. Unused prepaid balance is refunded when you close your account and ask for it.
Texting and calling consent
You are responsible for having each person's prior permission before you text or call them through SYNRGII, including any permission you confirm when you import contacts. When you confirm that contacts agreed to receive texts, you are stating that every person in that list gave your business permission to receive text messages at the number listed, that you can show proof if asked, that texting people who did not agree is against the law and these Terms, and that your business is responsible for it.
You agree to keep proof of that permission, to honor opt out requests, and to follow the TCPA, state law and carrier rules. You will defend and indemnify SYNRGII against claims that arise from messages or calls your account sends. SYNRGII may pause or end texting on your account to protect its carriers and other customers. The same applies to claims that arise from the contact data you upload or from your breach of these terms.
Specifically, you agree that you will:
- identify your business in every conversation, and include opt out instructions such as "Reply STOP to opt out" in your first text to each person;
- not text or call anyone who asked you to stop, is on the National Do Not Call Registry or your own do not call list without a valid exemption, or is outside the hours the law allows;
- not send texts about prohibited content, including sex, hate, alcohol, firearms, tobacco, cannabis, gambling, high risk loans, debt relief or anything illegal, and not use shared or rotating numbers to get around carrier filtering;
- register your business and texting campaign with the phone carriers through SYNRGII before texting, and keep that information truthful;
- follow the call recording laws of the states involved, including telling people when a call is recorded where that is required.
The Texting program page explains how texting works for the people you contact.
Acceptable use
- Do not text or call people who have not agreed to hear from you, and do not import bought or rented lists for texting unless every person on them agreed to hear from your business.
- Do not use SYNRGII to harass, deceive or threaten anyone, to spoof a number you do not control, or to break any law.
- Do not try to break, overload, copy or get around the security of the service, or access accounts that are not yours.
- We may suspend an account that breaks these rules, puts our carriers or other customers at risk, or draws repeated complaints. Where we can, we tell you first and give you a chance to fix it.
Your data
The contacts, notes, recordings and other data you put into SYNRGII belong to you. You give us permission to store, process and share them as needed to provide the service, to meet legal and carrier obligations (including answering a carrier's request for proof of consent), to prevent abuse, and to enforce these terms, as described in the Privacy Policy. You are responsible for having the right to collect and use the contact data you upload.
Availability
We work to keep SYNRGII available and reliable, but calls and texts depend on phone carriers and other providers outside our control. The service is provided "as is" and "as available", without warranties of any kind to the extent the law allows. Carriers are not liable for delayed or undelivered messages.
Limitation of liability
To the extent the law allows, SYNRGII is not liable for indirect, incidental, special or consequential loss, including lost profits, lost deals or lost data, arising from use of the service. Our total liability for any claim is limited to the amount you paid us in the three months before the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.
Ending the agreement
You may close your account at any time by writing to us. We may end or suspend the service for a breach of these terms or as the law or our carriers require. When an account closes, phone numbers are released and we handle your data as the Privacy Policy describes.
Changes to these terms
If these terms change, the date and version at the top change with them. We tell you about material changes before they take effect; continuing to use SYNRGII after that means you accept them. Some changes, such as the texting consent terms, ask you to accept them in the app.
Governing law
These terms are governed by the laws of the State of Wyoming, United States.
